Termination of appointment of director

Introduction

This schedule sets out the scope of services we will provide.

The purpose of this schedule is to clearly define what is and is not included in the scope of our work.

This schedule should be read in conjunction with our engagement letter and our standard terms of business.

Included work

As part of our agreed services, we will:

  • Prepare the written resolution or board minutes to approve and record the termination of the director's appointment
  • Prepare a resignation letter template for the departing director to sign where the termination is by resignation
  • Update the company's register of directors to reflect the termination
  • File the termination with Companies House using form TM01 within the required timeframe
  • Confirm the termination has been accepted and registered by Companies House
  • Provide copies of all completed documentation for your records

 

Please note: this list is not exhaustive. Any work not specifically listed under "Included work" is deemed outside the scope of this engagement unless we have expressly agreed otherwise in writing.

 

Where additional work is required, we will advise you of the scope, our proposed fee, and obtain your agreement before proceeding.

Excluded work

The following work is outside the scope of this service unless separately agreed in writing:

  • Legal advice on the grounds or process for removing a director where the termination is contested or disputed
  • Advice on the departing director's employment rights, redundancy entitlements, or any related HR matters
  • Preparation or review of any settlement agreement or compromise agreement relating to the departure
  • Advice on the tax implications of any payments made to the departing director
  • Updates to the company's articles of association where these require amendment as a result of the termination
  • Advice on changes to the company's shareholding or PSC register arising from the termination
  • Advice on the transfer or reallocation of the departing director's responsibilities or signing authorities

Your responsibilities

You agree to:

  • Provide us with accurate and complete details of the termination, including the departing director's full name and the effective date of termination
  • Confirm that the termination has been properly authorised in accordance with the company's articles of association
  • Ensure the departing director is aware of and has confirmed their resignation in writing where applicable
  • Review and sign all documentation prepared by us in a timely manner
  • Inform us of any disputes or legal proceedings relating to the termination that may affect the filing
  • Notify us of any changes to the details of the termination prior to filing

Our responsibilities

We agree to:

  • Prepare all documentation required to effect the termination with reasonable care and skill
  • Ensure the company's statutory registers are updated accurately to reflect the termination
  • File the termination at Companies House promptly once all documentation has been signed and returned
  • Provide you with copies of all completed documentation for your records
  • Maintain confidentiality and handle your information in compliance with data protection laws
