Introduction
This schedule sets out the scope of services we will provide.
The purpose of this schedule is to clearly define what is and is not included in the scope of our work.
This schedule should be read in conjunction with our engagement letter and our standard terms of business.
Included work
As part of our agreed services, we will:
- Register your company with Companies House, including submission of the incorporation documents
- Prepare and file the Memorandum and Articles of Association, and Statement of Capital
- Appoint initial directors and shareholders as instructed
- Provide digital copies of your Certificate of Incorporation, Share Certificates, and Memorandum & Articles
- Register the company for Corporation Tax with HMRC
- Advise on basic post-formation obligations (e.g. setting up a business bank account, record keeping)
- Basic advice on business structuring and share structures
Please note: this list is not exhaustive. Any work not specifically listed under "Included work" is deemed outside the scope of this engagement unless we have expressly agreed otherwise in writing.
Where additional work is required, we will advise you of the scope, our proposed fee, and obtain your agreement before proceeding.
Excluded work
The following work is outside the scope of this service unless separately agreed in writing:
- Ongoing company secretarial services, such as filing confirmation statements or maintaining the PSC register
- Advice on shareholder agreements or company law matters
- VAT, PAYE, or other HMRC tax registrations beyond Corporation Tax

Your responsibilities
You agree to:
- Provide accurate and complete information for the company registration, including proposed company name, address, director and shareholder details
- Review and approve the incorporation documents before submission
- Ensure compliance with post-formation legal obligations (e.g. maintaining statutory registers, submitting confirmation statements) unless we are separately instructed
- Notify us promptly of any changes that may affect the registration or company structure
Our responsibilities
We agree to:
- Act with reasonable skill and care in preparing and submitting your company formation
- Use the information you provide to complete the incorporation accurately and in compliance with Companies House requirements
- Deliver the final incorporation documents to you in a timely manner
- Maintain the confidentiality and security of your information in accordance with our data protection policy
